1. Who we are and what these Terms cover

1.1 Solodesk is an online financial-workspace application for Swiss small businesses and self-employed persons (the "Service"), operated by Solodesk Sàrl. The Service is made available at solodesk.ch and related sub-domains.

1.2 These Terms of Service (the "Terms") form a binding agreement between the Provider and the business or self-employed person that registers for or uses the Service (the "Customer", "you"). Together with any order or plan you select and the Privacy Policy, they govern your access to and use of the Service.

1.3 By creating an account, clicking to accept these Terms, or using the Service, you confirm that you have read, understood and agree to these Terms. If you do not agree, do not use the Service.


2. Business use only; authority; eligibility

2.1 Business-to-business Service. The Service is intended solely for use by businesses, self-employed persons and sole proprietors (Einzelunternehmen / raison individuelle / ditta individuale) in the course of their professional or commercial activity. It is not offered to consumers for private purposes. You confirm that you are using the Service exclusively for business purposes and that consumer-protection provisions that may otherwise apply are, to the extent legally permissible, not applicable.

2.2 Authority. If you accept these Terms on behalf of a company or other entity, you represent that you are authorised to bind that entity, and "you" and "Customer" refer to that entity.

2.3 Eligibility. You must be at least 18 years old and have the legal capacity to enter into a contract. The Service is available only to businesses registered in Switzerland and self-employed persons (sole proprietors) resident in Switzerland, and is built for the Swiss market (Swiss chart of accounts, QR-bill, VAT/MWST, UID lookups). It is not offered to, and we do not warrant that it is suitable or compliant for, businesses or individuals established outside Switzerland.


3. The Service — and what it is not

3.1 What Solodesk provides. Depending on your plan, the Service lets you: upload and store business documents; use AI to classify documents and extract data from them; keep double-entry accounts and a general ledger; issue quotes, invoices and credit notes (including Swiss QR-bills) and send reminders; import bank statements (CAMT.053 / PDF) and review transactions; reconcile and record payments; and generate financial reports (P&L, balance sheet, trial balance). The exact features available to you depend on your subscription plan and may change over time (§11).

3.2 Solodesk is a software tool, not a professional adviser. The Service assists you in organising and processing your own financial information. We do not provide accounting, bookkeeping, tax, audit, legal or financial advice, and we do not act as your fiduciary, Treuhänder, auditor or tax representative. Outputs of the Service (including classifications, extracted data, journal entries, VAT figures, reports and any estimates) are aids that you must review, verify and, where required, have checked by a qualified professional. You remain solely responsible for the correctness and completeness of your accounts, VAT returns, tax filings and any submissions to authorities.

3.3 AI-assisted features. Some features use artificial intelligence (including third-party AI models) to classify documents and extract data. AI output is probabilistic and may be incomplete or incorrect. The Service is designed to surface uncertain results for your review; you must review and confirm AI-generated data before relying on it. We do not warrant the accuracy of any AI output.

3.4 Not a bank or payment institution. Solodesk is not a bank, payment service provider or financial intermediary. We do not hold funds, execute payments or connect to your bank accounts to move money. Statement import and reconciliation features process information only.

3.5 Your records remain yours. You are responsible for retaining your own original accounting records and business correspondence for the statutory periods (in particular under Art. 958f of the Swiss Code of Obligations). Solodesk stores digital copies of documents you upload as a convenience; it is not your statutory record-keeper of record, and you must not rely on Solodesk as the sole repository of records you are legally required to keep (see §15.5).


4. Accounts and security

4.1 To use most features you must register an account and provide accurate, current and complete information (including via Google sign-in, where offered). You must keep this information up to date.

4.2 You are responsible for all activity under your account and for keeping your credentials confidential. You must notify us promptly at privacy@solodesk.ch if you suspect any unauthorised use.

4.3 In the current version, an account is associated with one Customer/company. Team, multi-user and role-based access may be offered later and may be subject to additional terms.


5. Subscriptions, trials, fees and billing

5.1 Plans and pricing. Until 1 September 2026 the Service is provided free of charge. From 1 September 2026, the Service is offered under the following plans, billed monthly in Swiss francs (CHF): Free (CHF 0), Mid (CHF 29 / month) and Full (CHF 59 / month). Each plan has a monthly incoming-document allowance (currently 10, 25 and 50 documents respectively) and the features described for it. The current plans, prices, allowances and features are shown on our pricing page and at checkout and form part of these Terms when you subscribe; we may change them in accordance with §5.7.

5.2 Trials and changes of plan. We may offer free trials or promotional terms for paid plans; any such terms are shown at the time. You can move between plans; if you downgrade, or a paid entitlement ends, you may lose access to the features and allowances of the higher plan. We may change or withdraw trial or promotional offers at any time.

5.3 Fees. Fees are stated in Swiss francs (CHF) and, unless stated otherwise, are exclusive of any applicable VAT, which will be added where due. Usage beyond a plan's allowance (for example, additional documents) may be charged at the metered rate shown at the time.

5.4 Payment provider. Payments are processed by our third-party payment provider, Stripe. By subscribing you authorise us and Stripe to charge your selected payment method for the applicable fees. Your use of Stripe is subject to Stripe's own terms. We do not store full card details.

5.5 Renewal. Paid subscriptions renew automatically for successive periods (monthly or annual) at the then-current price until cancelled. You can cancel or change your plan through your account or the customer portal; cancellation takes effect at the end of the current billing period.

5.6 No refunds. Except where required by mandatory law, fees already paid are non-refundable, and cancelling does not entitle you to a refund for the remainder of a paid period. Downgrades take effect at the next renewal.

5.7 Price changes. We may change fees and plan structures. We will give you reasonable advance notice of any increase affecting you, which will take effect at your next renewal. Continued use after the change takes effect constitutes acceptance; if you do not agree, you may cancel before it takes effect.

5.8 Late payment. If a payment fails or is overdue, we may suspend or limit your access to paid features after reasonable notice, without prejudice to our other rights.


6. Your responsibilities and acceptable use

6.1 Accuracy and compliance. You are responsible for the data you enter or upload, for the lawful basis of processing any information it contains, and for meeting your own accounting, tax, VAT, invoicing, retention and other legal obligations. The Service supports these tasks but does not discharge them.

6.2 Acceptable use. You must not, and must not permit any third party to:

  • (a) use the Service in violation of any applicable law or third-party right;
  • (b) upload content that is unlawful, infringing, or malicious (including malware);
  • (c) attempt to gain unauthorised access to, disrupt, overload, or reverse-engineer the Service or its infrastructure, except to the extent such restriction is prohibited by mandatory law;
  • (d) circumvent usage limits, security or authentication measures;
  • (e) resell, sublicense or make the Service available to third parties outside your own business, or use it to build a competing product;
  • (f) use the Service to process data for which you have no right or lawful basis, or to send unlawful communications.

6.3 Cooperation. You will provide reasonable cooperation and accurate information where needed for us to provide the Service.


7. Your data and content

7.1 Ownership. As between you and us, you retain all rights in the data, documents and content you upload or generate through the Service ("Customer Data"). We claim no ownership of Customer Data.

7.2 Licence to operate the Service. You grant us a non-exclusive, worldwide licence to host, store, copy, transmit, process, display and otherwise use Customer Data solely to provide, secure, maintain and improve the Service for you, to provide support, and as otherwise instructed by you or permitted by these Terms and the Privacy Policy. This includes transmitting documents to our sub-processors (including the AI provider) to perform classification and extraction.

7.3 Counterparty information. Customer Data may include information about your business counterparties (clients and suppliers). This is predominantly commercial information about businesses. Where any of it relates to natural persons (for example sole proprietors or individual contacts), you act as the controller of that information and we process it only on your behalf and on your instructions as described in the Privacy Policy. You are responsible for having a lawful basis to upload and process it. Where we process such personal data on your behalf, our processing is governed by a data-processing agreement (Art. 28 GDPR / Art. 9 revFADP), available from us on request.

7.4 Confidentiality of Customer Data. We treat Customer Data as confidential and will not access or use it except to provide and support the Service, to comply with law, or as you instruct.

7.5 Aggregated / de-identified data. We may generate and use aggregated or de-identified statistics that do not identify you or any individual to operate and improve the Service. We do not use your Customer Data to train third-party foundation AI models (see the Privacy Policy).


8. Our intellectual property

8.1 The Service, including its software, design, text, and trademarks (including "Solodesk"), is owned by the Provider or its licensors and is protected by law. Except for the limited right to use the Service under these Terms, no rights are granted to you.

8.2 Feedback you choose to give us about the Service may be used by us without restriction or obligation to you.


9. Third-party services

9.1 The Service relies on and integrates third-party services (including Google Cloud and Google Vertex AI, Stripe, SendGrid, Sentry, Google reCAPTCHA, and Swiss registry lookups via Zefix / the BFS UID register). Your use of certain features may be subject to those providers' terms, and we are not responsible for third-party services outside our control. A current list of sub-processors is in the Privacy Policy.


10. Availability, support and changes to the Service

10.1 Availability. We host the Service on robust cloud infrastructure and aim to keep it available continuously, with only minimal and, where possible, pre-announced interruptions for maintenance or updates. We work to prevent and minimise downtime; however, we do not warrant that the Service will be entirely uninterrupted or error-free, and we may need to suspend access for reasons beyond our reasonable control. We do not currently offer a contractual uptime service level with service credits; if we introduce one, it will be published separately.

10.2 Support is provided as described on our website or in your plan. We are not obliged to provide support for issues caused by your misuse or by third-party services.

10.3 We may modify, add or discontinue features. We will not materially reduce the core functionality of a paid plan during a paid period without notice; if we discontinue a paid feature you materially rely on, your sole remedy is described in §15.


11. Beta and new features

11.1 We may label certain features as "beta", "preview", "soon" or similar. Such features are provided "as is", may be changed or withdrawn, and are excluded from any commitments regarding availability or support.


12. Warranties and disclaimers

12.1 To the maximum extent permitted by applicable Swiss law, the Service is provided "as is" and "as available", and we disclaim all warranties not expressly stated in these Terms, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement.

12.2 Without limitation, we do not warrant that: (a) the Service will meet your requirements or be uninterrupted or error-free; (b) AI classifications, extractions, calculations, journal entries, VAT treatments, reports or estimates are accurate or complete; or (c) the Service satisfies any specific legal, accounting or tax obligation applicable to you. You are responsible for reviewing and validating all outputs before relying on them.


13. Limitation of liability

13.1 Nothing in these Terms excludes or limits liability that cannot be excluded or limited under mandatory Swiss law, including liability for unlawful intent (Absicht) or gross negligence (grobe Fahrlässigkeit), or for death or personal injury.

13.2 Subject to §13.1, and to the maximum extent permitted by law:

  • (a) we are not liable for slight or ordinary negligence;
  • (b) we are not liable for indirect, incidental, or consequential damages, loss of profit, loss of revenue, loss of goodwill, or loss or corruption of data, or for damages arising from fines, back-taxes, penalties or interest imposed on you, or from decisions you make based on the Service's output;
  • (c) we are not liable for acts or omissions of third-party services or for auxiliary persons (Hilfspersonen) to the extent legally excludable; and
  • (d) our total aggregate liability arising out of or in connection with the Service in any 12-month period is limited to the total fees you paid to us for the Service in the 12 months preceding the event giving rise to the liability.

13.3 You are responsible for maintaining your own copies and backups of your records and originals (§3.5). We are not liable for your failure to retain records you are legally required to keep.


14. Indemnification

14.1 To the extent permitted by law, you will defend, indemnify and hold us harmless from third-party claims, and related losses and reasonable costs, arising from (a) your Customer Data or your use of the Service in breach of these Terms or applicable law, or (b) your infringement of a third party's rights.


15. Term, suspension, termination and data export

15.1 Term. These Terms apply for as long as you have an account or use the Service.

15.2 Termination by you. You may stop using the Service and close your account at any time; paid subscriptions end as described in §5.5.

15.3 Suspension / termination by us. We may suspend or terminate your access (a) for material breach of these Terms not cured within a reasonable period, (b) where required by law, or (c) to protect the Service, other customers or third parties from harm or security risk. Where practicable and lawful, we will give notice.

15.4 Effect of termination. On termination, your right to use the Service ends. For a limited period after termination (as described at the time or in the Privacy Policy), you may export your Customer Data; after that period we may delete it, subject to §15.5.

15.5 Records remain with you. Because Solodesk stores only digital copies (§3.5), you must export and retain your own records before termination. The statutory obligation to retain original accounting records and business correspondence (e.g. under Art. 958f CO) remains with you at all times. We may retain limited data as required to comply with our own legal obligations, resolve disputes and enforce our agreements.


16. Confidentiality (mutual)

16.1 Each party may receive confidential information of the other. Each party will use the other's confidential information only to perform under these Terms and will protect it with reasonable care, except where disclosure is required by law. This does not apply to information that is public through no fault of the receiving party or independently developed.


17. Changes to these Terms

17.1 We may update these Terms. We will notify you of material changes by a reasonable means (for example by email or in-app notice) before they take effect. Continued use of the Service after the changes take effect constitutes acceptance. If you do not agree, you may terminate before the changes take effect.


18. Governing law and jurisdiction

18.1 These Terms and any dispute arising out of or in connection with them (including non-contractual disputes) are governed by Swiss substantive law, excluding its conflict-of-laws rules and the United Nations Convention on Contracts for the International Sale of Goods (CISG).

18.2 The exclusive place of jurisdiction is Geneva, Switzerland, subject to any mandatory statutory place of jurisdiction. We may also enforce our rights at your seat or domicile.


19. General

19.1 Entire agreement. These Terms, your plan/order and the Privacy Policy are the entire agreement between the parties regarding the Service and supersede prior agreements on that subject. Your own general terms and conditions do not apply, even if not expressly objected to.

19.2 Severability. If any provision is held invalid or unenforceable, the remaining provisions remain in effect, and the invalid provision will be replaced by a valid one that comes closest to its economic intent.

19.3 No waiver. Failure to enforce a provision is not a waiver of it.

19.4 Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms to an affiliate or in connection with a merger, reorganisation or sale of assets.

19.5 Force majeure. Neither party is liable for delay or failure due to causes beyond its reasonable control.

19.6 Notices. We may give notices by email to your account address or by in-app notice. Legal notices to us should be sent to Solodesk Sàrl at the address above or to privacy@solodesk.ch.

19.7 Language. These Terms are concluded in English, which is the governing version. Translations (into German, French or Italian) may be provided for convenience; in case of discrepancy, the English version prevails, unless mandatory law requires otherwise.
